1. General

1.1 This website, fanspass.sa (the “Site”), is owned and operated by Fans Pass Company (the “Company”), registered in Saudi Arabia under CR No. 7051493695, Hittin dist., Riyadh. 
1.2 FansPass is a ticket resale platform (secondary marketplace) connecting buyers and sellers. The Company is not the event organizer or ticket issuer. Prices are set by sellers and may be above or below face value. 
1.3 Singular includes plural, masculine includes feminine, and references to persons include entities. 
1.4 Headings are for convenience only. 
1.5 These Terms and Conditions (the “Terms”), together with all Site content and Company communications, form a binding agreement (“Agreement”) between you and the Company. By using the Site, you agree to these Terms. 
1.6 You confirm you are of legal age and capacity to use the Site. 
1.7 You agree not to use the Site unlawfully or in ways that impair its function or others’ use.

2. Information on the Site

2.1 Information on the Site may change, including ticket prices and event dates at any time without prior notice. 
2.2 Event information often comes from third parties. You must verify such information independently. 
2.3 The Site may link to external websites. Your dealings with those websites are solely between you and them. The Company is not liable for such dealings. 

3. Purchases through the Site

3.1 Orders must be placed with accurate details. Once confirmed, they cannot be canceled except in accordance 
with the cancellation and refund policy set out in Clause 4. 
3.2 Ticket prices may exceed face value due to supply and demand in the secondary market. 
3.3 Payment must be through valid methods approved by the Company. 
3.4 You must provide accurate delivery details. The Company is not liable for failed delivery due to incorrect or missing information. 

4.Cancellation and Refund Policy

4.1 General Rule 
All FansPass purchases are final once confirmed. Due to the nature of ticket resale platforms, cancellations or refunds are not allowed after confirmation except as set out below. 
4.2 Full Refund Eligibility 
A full refund (including service fees) applies in the following cases: 
• Event Cancellation: If the organizer cancels the event. Refunds are processed within fourteen (14) business days of the official announcement. 
• Non-Delivery: If tickets are not delivered in line with FansPass’s delivery policy. Orders placed at least two (2) hours before the event will be delivered in time before the start. Orders placed less than two (2) hours before or after the start will be delivered as soon as possible and no later than two (2) hours from confirmation. 
• Invalid Tickets: If tickets are invalid due to seller error, provided FansPass is notified immediately and within twenty-four (24) hours of the event with supporting evidence.

5.1 The Company is not liable for denied entry unless caused by its willful misconduct. Attendance is at your own risk, and event dates may change. 
5.2 Lost or stolen tickets are not replaced unless caused by the Company. Issues must be reported promptly. The Company is not liable for third-party use of tickets or for force majeure events (e.g., weather, strikes, war). 
5.3 If seats are worse than confirmed, you may receive the price difference. Seating in pairs is attempted but not guaranteed. You must follow organizers’ rules, and any season ticket or membership card must be returned as instructed. 
5.4 If specified tickets cannot be delivered, the Company may substitute tickets of the same or higher category (without guaranteeing exact row or seat), which fulfills its obligations. 
5.5 To the fullest extent permitted by law, the Company is not liable for any indirect or consequential damages, or any loss of profits or data arising from your use of the Website.

You agree to indemnify and hold harmless the Company, its employees, and partners from any claims arising from your breach of these Terms.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute not amicably resolved within 30 days shall be exclusively referred to arbitration in Riyadh, Saudi Arabia, under the applicable arbitration rules. The arbitration language shall be Arabic, unless otherwise agreed.

These Terms constitute the entire agreement between you and the Company. If any provision is invalid, it will be modified to be enforceable while the rest remain in effect.

11. Sale of Tickets (Seller Terms)

11.1 Sellers must publish accurate event, ticket, and price details. 
11.2 Publishing an Offer gives Fans Pass the right to display it and binds the Seller to fulfill it once accepted. 
11.3 Sellers must provide valid card/payment details and authorize Fans Pass to deduct service fees or penalties. 
11.4 Sellers are responsible for including applicable taxes in the ticket price. 
11.5 The Seller alone determines the ticket price. 
11.6 Fans Pass charges a commission which may vary by event, plus applicable VAT. 
11.7 Offers become binding once confirmed and cannot be withdrawn. 
11.8 Failure to deliver correct tickets may result in penalties or account suspension. 
11.9 Late delivery or incorrect tickets may result in financial penalties. 
11.10 Electronic tickets must be valid. Invalid or scanned copies are prohibited. 
11.11 Sellers who repeatedly fail to comply may have their accounts closed, with pending payments adjusted for penalties.

12. Best Price Guarantee Policy

12.1 The guarantee applies only to the exact same ticket (block, event, date, and number of seats). 
12.2 Claims must be submitted within 30 minutes of completing your purchase. 
12.3 The price difference is calculated based on the final total price including all fees on the competitor’s site. 
12.4 Any price difference will be credited to your FansPass account and cannot be paid in cash. 
12.5 FansPass reserves the right to reject any claim if there is evidence of manipulation or inaccurate information. 
12.6 If the purchased tickets are adjacent, the comparison must be made with adjacent tickets of the same quantity. 
12.7 The guarantee does not apply to tickets or prices offered through unofficial channels or untrusted platforms such as WhatsApp, Telegram, or others. 
12.8 The guarantee does not cover base prices listed on the official event website, even if they are lower than the purchase price on FansPass.
